By accessing our website, purchasing any digital product, or using any of our Services, you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree with any part of these Terms, you must immediately discontinue use of our Services and refrain from purchasing any products.
These Terms constitute a legally binding agreement between you and Commerlora Enterprises. We reserve the right to modify, update, or revise these Terms at any time without prior notice. Any changes will be effective immediately upon posting on our website. Your continued use of the Services following any modification constitutes your acceptance of the revised Terms. 2. Description of Services
Commerlora Enterprises specializes in the development and distribution of professional-grade digital tools, templates, and frameworks designed for business operations. Our Services include, but are not limited to:
- Business plan templates and marketing strategy frameworks suitable for investor presentations, SBA loan applications, and internal strategic planning.
- Financial models including revenue projection spreadsheets, cash flow analyzers, break-even calculators, fundraising valuation tools, and due diligence checklists.
- Project management instruction guides covering Agile, Waterfall, and hybrid methodologies, including sprint planners, Gantt chart templates, risk assessment matrices, and stakeholder communication plans.

All digital products are delivered electronically in industry-standard file formats including, but not limited to, Microsoft Excel (.xlsx), Microsoft Word (.docx), Adobe PDF (.pdf), and Microsoft PowerPoint (.pptx). Products are designed to be compatible with both Microsoft 365 and Google Workspace platforms.
3. User Eligibility
To use our Services and purchase digital products, you must be at least eighteen (18) years of age or the age of legal majority in your jurisdiction, whichever is greater. 5. Intellectual Property Rights
All content, materials, templates, financial models, guides, frameworks, software, code, designs, graphics, text, images, logos, trademarks, and other intellectual property associated with our Services (collectively, "Intellectual Property") are owned by or licensed to Commerlora Enterprises and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
Upon purchase of a digital product, we grant you a limited, non-exclusive, non-transferable, revocable license to use the purchased product for your personal or internal business purposes only. This license does not include the right to:
- Resell, redistribute, sublicense, or commercially exploit our products or any derivative works based on our products.
- Reproduce, duplicate, copy, or otherwise exploit our products for any commercial purpose outside of your own internal business operations.
- Remove, alter, or obscure any copyright notices, watermarks, or other proprietary markings from our products.
- Use our products to create competing products or services.
- Share account access or purchased products with third parties outside of your organization without express written permission.
Any unauthorized use of our Intellectual Property constitutes a violation of these Terms and may subject you to civil and criminal penalties under applicable law.
6. Pricing and Payment
All prices for our digital products and Services are listed in United States Dollars (USD) and are subject to change without prior notice. We reserve the right to modify pricing at any time; however, any price changes will not affect orders that have already been completed and confirmed.
Payment must be made in full at the time of purchase through the payment methods accepted on our website. By providing payment information, you represent and warrant that you are authorized to use the designated payment method and that the information provided is accurate and complete.
We are not responsible for any additional fees, charges, or taxes imposed by your payment provider, bank, or local government. You are solely responsible for all applicable taxes related to your purchase of our products and Services.
7. Product Delivery
Standard digital products are delivered immediately upon successful payment confirmation via electronic download. Custom-configured enterprise packages are delivered within three (3) to five (5) business days from the date of order confirmation, depending on the scope and level of customization required.
Rush delivery for enterprise packages is available at an additional cost and is subject to availability. Delivery timelines for rush orders will be communicated at the time of purchase.
You are responsible for ensuring that you have the necessary software, hardware, and internet access required to download, access, and use our digital products. We are not responsible for any inability to access or use products resulting from incompatible systems or insufficient technical infrastructure on your end.
8. Disclaimer of Warranties
Our Services and digital products are provided on an "as is" and "as available" basis without any warranties or representations of any kind, whether express, implied, or statutory. To the fullest extent permitted by applicable law, Commerlora Enterprises disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, non-infringement, and any warranties arising from course of dealing or usage of trade.
We do not warrant that our products will meet your specific requirements, produce specific financial results, guarantee business success, or be error-free. Our templates and tools are designed as starting frameworks and should be reviewed, customized, and validated by qualified professionals before being relied upon for critical business decisions.
Financial models, projections, and forecasts provided in our products are illustrative in nature and based on assumptions that may not reflect your actual business conditions. You acknowledge and agree that any reliance on such materials is at your own risk.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Commerlora Enterprises, its officers, directors, employees, agents, affiliates, successors, and assigns shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, revenue, goodwill, data, business opportunities, or other intangible losses, arising out of or in connection with your use of or inability to use our Services, products, or any content provided therein.
In no event shall our total aggregate liability to you for all claims arising out of or related to these Terms or our Services exceed the amount you paid to us for the specific product or service giving rise to the claim during the twelve (12) month period immediately preceding the event giving rise to such liability.
10. Indemnification
You agree to indemnify, defend, and hold harmless Commerlora Enterprises, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of our Services or products; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your infringement of any third-party rights.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Kentucky, United States, without regard to its conflict of law provisions. Any disputes arising out of or related to these Terms or our Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, with the arbitration taking place in Georgetown, Kentucky.
Before initiating arbitration, you agree to first attempt to resolve any dispute informally by contacting us at the email addresses listed below. If a dispute cannot be resolved informally within thirty (30) days, either party may proceed to arbitration.
You agree that any arbitration shall be conducted on an individual basis and not as a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Commerlora Enterprises.
12. Termination
We reserve the right to suspend or terminate your access to our Services at any time, with or without cause and with or without notice, at our sole discretion. Upon termination, your right to use our Services will immediately cease, and any licenses granted under these Terms will be automatically revoked.
All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property rights, disclaimer of warranties, limitation of liability, indemnification, and governing law provisions.
13. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect the remaining provisions of these Terms, which shall remain in full force and effect. The invalid or unenforceable provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the original intent of the provision.
14. Entire Agreement
These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Commerlora Enterprises regarding the subject matter herein and supersede all prior or contemporaneous communications, agreements, representations, and understandings, whether written or oral, relating to such subject matter.
